Roy Karon and Peddler LLC, (Peddler) appeal the district court’s grant of the motion to dismiss brought on behalf of the defendants, Elliott Aviation, James Mitchell, Wynn Elliot, Elliott Aviation Aircraft Sales, Inc., and Elliott Jets (collectively “Elliott”). Peddler argues: (1) the district court erred due to its indiscriminate application of Dacres v. John Deere Ins., 548 N.W.2d 576 (Iowa 1996); (2) the district court erred by granting the motion to dismiss because there is a genuine issue of material fact regarding whether the oral agreement or purchase agreement governs this dispute; and (3) the district court erred by granting the motion to dismiss because the Elliott defendants were not entitled to judgment as a matter of law based upon the summary judgment record.
