Susan A. Guge and Peggy McDonald
v.
Kassel Enterprises, Inc.

Sisters Susan Guge and Peggy McDonald petitioned for judicial dissolution of their family’s closely-held farming business, Kassel Enterprises, Inc., a Subchapter S corporation, alleging various illegalities perpetrated by its manager, their brother Craig Kassel. Kassel Enterprises moved to purchase the sisters’ shares and avoid dissolution. It appeals from the district court’s determination of the fair value of its shares as well as from the award and amount of attorneys’ fees. Guge and McDonald cross-appeal from the fair-value determination.
